By accessing or using the websites, products, and services operated by Merelate Pty Ltd (“Merelate”, “we”, “us”, or “our”), including merelate.com, claytics.com, and any related platforms, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our services.

2. Description of Services

Merelate provides AI-powered talent intelligence platforms and services. Our flagship product, Claytics, is an AI-powered career intelligence and recruiter platform that creates Digital Twin profiles, performs resume intelligence, and enables AI-powered talent search.

Our services are provided “as is” and are continually evolving. We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.

3. Eligibility

You must be at least 18 years of age to use our services. By using our services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. User Accounts

If you create an account with us, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

5. Acceptable Use

You agree not to:

  • Use our services for any unlawful purpose or in violation of any applicable laws
  • Upload false, misleading, or fraudulent information
  • Attempt to gain unauthorised access to our systems or other users' accounts
  • Interfere with the proper functioning of our services
  • Scrape, harvest, or collect data from our platforms without express written consent
  • Use our AI-generated insights to discriminate against any individual or group

6. Intellectual Property

All content, features, and functionality of our services — including but not limited to text, graphics, logos, software, AI models, and algorithms — are owned by Merelate and are protected by Australian and international copyright, trademark, and intellectual property laws.

You retain ownership of the personal and career data you provide. By submitting data to our platforms, you grant Merelate a non-exclusive licence to process, analyse, and display that data as part of providing our services.

7. AI-Generated Content

Our platforms use artificial intelligence to generate insights, analyses, and recommendations. While we strive for accuracy, AI-generated content is provided for informational purposes and should not be treated as professional advice. We do not guarantee the accuracy, completeness, or reliability of AI-generated outputs.

You acknowledge that AI systems may produce errors or biases. Merelate is not liable for decisions made based on AI-generated content from our platforms.

8. Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Limitation of Liability

To the maximum extent permitted by Australian law, Merelate shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claim arising from these Terms or your use of our services shall not exceed the amounts paid by you to Merelate in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

Our services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Indemnification

You agree to indemnify and hold Merelate harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Australia.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised “Last updated” date. Your continued use of our services after changes constitutes acceptance of the updated Terms.
